1. Agreement
These Terms of Service (“Terms”) govern your use of our website and the purchase of products from Repres Jebu Medical Plastics Sdn. Bhd. (“Repres Jebu”, “we”, “us”). By accessing this site or placing an order, you agree to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company.
2. Products and Specifications
We manufacture disposable plastic holders, cases, and accessories intended for integration into our customers’ medical or diagnostic systems. Product drawings, specifications, and quality requirements shall be defined in mutually agreed documentation (e.g., drawings, BOM, SOPs, or quality agreements). Unless explicitly stated, our products are not supplied sterile and are not labeled for direct patient contact.
3. Quotations, Orders, and Pricing
Quotations are valid for the period stated or, if unspecified, thirty (30) days. Orders are subject to acceptance by Repres Jebu. Prices exclude taxes, duties, and shipping unless otherwise stated. We reserve the right to correct typographical errors. Minimum order quantities, tooling amortization, and setup fees may apply depending on the program.
4. Payment and Invoicing
Payment terms are as stated in our quotation or order acknowledgement. Late payments may incur finance charges and may delay deliveries. Customers are responsible for bank charges associated with international transfers. We may suspend performance if undisputed invoices remain overdue.
5. Delivery and Risk
Delivery terms are defined per Incoterms as stated in the order. Risk of loss passes at delivery under the applicable Incoterms rule. Lead times are estimates and may be adjusted due to supply constraints or validated changes. Partial shipments may be made. Customer must inspect deliveries promptly and notify us of non‑conformances within a reasonable time.
6. Quality and Warranty
We warrant that delivered products conform to agreed specifications at the time of shipment. Our warranty is limited to repair, replacement, or credit at our option. This warranty excludes misuse, improper storage, modifications, or use outside specified conditions. Samples, prototypes, or pre‑validation lots may be supplied “as‑is” for evaluation only.
7. Intellectual Property
Customer retains ownership of its designs, drawings, and proprietary information provided to us. Tooling ownership and access rights will be as specified in the quotation or separate agreement. Except as expressly permitted, neither party acquires any rights in the other party’s trademarks, copyrights, or patents.
8. Confidentiality
Each party will keep confidential the other party’s non‑public information disclosed in connection with a potential or existing business relationship and will use it solely for the intended purpose. This obligation does not apply to information that is public, already known, independently developed, or rightfully obtained from a third party.
9. Compliance
Customer is responsible for ensuring that products incorporated into its devices meet applicable regulatory requirements. We support audits and quality documentation reasonably required by customers and authorities. We comply with applicable laws of Malaysia and, where relevant, export control and sanctions regulations.
10. Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, including lost profits, arising out of these Terms or the supply of products. Our total liability is limited to the amounts paid for the specific products giving rise to the claim.
11. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, epidemics, labor disputes, or supply chain disruptions, provided the affected party promptly notifies the other and uses reasonable efforts to mitigate the impact.
12. Changes
We may update these Terms from time to time. The version posted on this website at the time of your order will apply to that order unless otherwise agreed in writing. Material changes will be indicated by an updated “Last updated” date.
13. Governing Law
These Terms are governed by the laws of Malaysia. The parties submit to the non‑exclusive jurisdiction of the courts of Malaysia for any disputes arising under these Terms, without prejudice to any mandatory local consumer rights that may apply.
